What is Euroclear?
Euroclear Sweden is Sweden's central securities depository (CSD). Their main task is to manage the account keeping of financial instruments. For limited companies, this means Euroclear manages a secure, digital share register where all shareholders and their holdings are recorded.
When a company is connected to Euroclear, it is called a CSD-registered company (avstämningsbolag). Most large companies and all listed companies in Sweden are affiliated with Euroclear.
Euroclear and unlisted shares
Many smaller unlisted companies manage their share register themselves, but as a company grows, raises more capital, or prepares for an IPO, they often choose to connect to Euroclear.
The advantage for you as an investor is that the shares can be held in a standard depository account or an Investment Savings Account (ISK) with your bank, which makes administration significantly easier.
