What is a contract note?
A contract note (avräkningsnota) is the document confirming a completed securities transaction. It shows the terms of the deal: which security it concerns, quantity, price per unit, any fees or commission, and the settlement date when payment and delivery take place. The note is an important record, not least for your tax return.
Contract notes when trading unlisted shares
In a share transfer in an unlisted company, the deal is documented in a transfer agreement and, when carried out via an intermediary, often in a contract note. It confirms price and quantity and serves as the basis for registration in the share register or with Euroclear.
Why you should keep it
The contract note shows your acquisition cost, which you need to calculate gain or loss when you later sell. Always keep the note from your purchases — for unlisted shares it can be a long time before a sale takes place.
